Class-action lawyers focus their attack on M&A

A study by Cornerstone Research shows that, in 2012, plaintiff-side class-action lawyers in the U.S. challenged 96% of all public-company M&A worth more than $500 million. On average, over 5 lawsuits were filed two weeks after each merger announcement.

Stanford Law School’s Robert Daines says the data obviously calls into question the merit of these suits, but the study also shows that class-action lawyers are shifting their focus from potentially false or misleading representations to potentially objectionable mergers.
